Terms and Conditions

These Terms govern your access to and use of the website, products, and services offered by Innovative Retail Group, LLC ("InnovateRetail," "we," "us," "our") through innovateretail.com and our related properties — including our advertising services (Google Ads Audits, Google Ads Management, and media buying) and our software products (LCA, Market Lens, Wingman, and any we add over time). By engaging our services, creating an account, purchasing a product, or using the site, you agree to these Terms. If you do not agree, do not use the services. Read them alongside our Privacy Policy.
1. Eligibility
You must be at least 18 years old and able to enter a binding agreement to use the services. If you are using the services on behalf of a business, you confirm you have authority to bind that business.
2. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Do not share your account with anyone else. Notify us immediately at [email protected] if you suspect unauthorized access. Any sharing, distribution, reproduction, or use of our products, tools, or materials to train, fine-tune, or prompt AI systems is prohibited.
3. Advertising Services
For clients who engage our advertising services, you authorize InnovateRetail to access the advertising and analytics accounts you designate and to read performance data and create, manage, and optimize campaigns on your behalf. We act only within the access you grant and only to deliver the services you have requested. You remain the owner of your accounts and may revoke our access at any time. The scope, fees, and duration of an advertising engagement are set out in the proposal or order you accept, which forms part of these Terms.
4. Subscriptions and Payment
Subscription products renew automatically at the rate and on the billing cycle stated at the time of purchase, until cancelled. Some products begin with a paid introductory trial — for example, Wingman starts at $1 for the first 7 days and converts automatically to the standard monthly subscription stated at checkout unless cancelled during the trial period. Where a product includes usage-based pricing — such as a per-account charge above an included amount — the recurring charge varies with your usage, as described at checkout and in the product. By purchasing a subscription, you authorize recurring charges to your payment method. There are no contracts, no minimum terms, and no cancellation penalties. You can cancel anytime from inside the application, through the customer portal link in the website footer, or by emailing [email protected]. Cancellations are processed without hesitation and with no questions asked.
You can change subscription tiers at any time through the customer portal or by emailing [email protected]. Plan changes are prorated by our payment processor at the time of the change. One-time products are billed once at the rate stated at the time of purchase.
If a renewal payment fails, we will email you and retry your payment method for 5 business days. Your access continues during that window. If the payment has not cleared by the end of it, your subscription is cancelled and access pauses. Your data is retained for 90 days from cancellation so you can resubscribe and pick up exactly where you left off.
When you cancel a subscription:
- Your subscription remains active through the end of the current billing period.
- At the end of that period, your account is closed and your subscription benefits end.
- The data associated with your account is retained for 90 days — resubscribe within that window and it is restored — then permanently deleted, except where we are required to retain certain records by law.
5. Refunds
All sales are final. No refunds are issued for any product or service. This does not lock you into a subscription — you can cancel anytime to stop future charges (see Section 4). Due to the digital nature of our software products, no refunds are issued once a purchase is made. If you are unhappy with a purchase, email [email protected] and we will do our best to work with you toward a positive solution. If you believe there has been a billing error or an unauthorized charge, contact us within 30 days of the charge and we will investigate.
6. Acceptable Use
You agree to use the services only for lawful purposes and in accordance with these Terms. You will not:
- Resell, redistribute, sublicense, or share access to any product, tool, or downloadable.
- Use the services to violate any applicable law or third-party right.
- Reverse-engineer, scrape, or attempt to extract source code, prompts, or training data from the services.
- Use any content, output, or material from the services to train, fine-tune, prompt, or otherwise feed artificial intelligence systems, including large language models.
- Interfere with the operation of the services or attempt to gain unauthorized access to any part of them.
7. Intellectual Property
All content, software, tools, reports, and outputs delivered through the services are the property of InnovateRetail and are protected by copyright and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use them for your own business use only, subject to these Terms. This license does not include the right to share, redistribute, train AI systems on, or commercially exploit the content in any way that competes with our products.
8. Your Submitted Content
When you submit information to the services — for example, your business details, or authorization to access an advertising account — you grant InnovateRetail a license to process that information solely to deliver the requested service. You represent that you have the right to submit any information you provide and to authorize any account access you grant.
9. AI-Generated Output
Some services use artificial intelligence to generate analysis, recommendations, and other output. AI-generated output is provided as-is and may contain errors, omissions, or inaccuracies. You are responsible for reviewing any output before acting on it. We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
10. No Guaranteed Results
Our services are operational and educational resources. We do not guarantee any specific outcome — including rankings, impressions, clicks, leads, calls, foot traffic, sales, or revenue — from your use of them. Results depend on factors outside our control, including your budget, your business, your market, and changes to third-party platforms such as Google.
11. Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or secure. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, InnovateRetail's total liability for any claim arising from or related to these Terms or the services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
13. Indemnification
You agree to indemnify and hold harmless InnovateRetail, its owners, employees, contractors, and affiliates from any claim, loss, or expense arising from your use of the services, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
We may suspend or terminate your access to the services at any time, with or without cause or notice, including for violation of these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or through the services. Your continued use after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the services will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, except as provided in Section 17.
17. Dispute Resolution and Arbitration
Please read this section carefully. It affects how disputes are resolved.
Any dispute, claim, or controversy arising from or related to these Terms or the services that cannot be resolved by good-faith negotiation will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA) Consumer Arbitration Rules. Arbitration will be conducted in Maricopa County, Arizona, in English, by a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
Class action waiver. You and InnovateRetail each agree that any dispute will be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one party's claims or preside over any form of class proceeding.
Carve-outs. Either party may bring a claim in small claims court if it qualifies, or seek injunctive or equitable relief in court to protect intellectual property rights.
Opt-out. You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing [email protected] with the subject line "Arbitration Opt-Out" and including your name and the email address associated with your account. Opting out does not affect any other part of these Terms.
18. DMCA Notices
If you believe content available through our services infringes your copyright, send a notice under the Digital Millennium Copyright Act ("DMCA") to our designated agent:

A valid DMCA notice must include all elements required by 17 U.S.C. § 512(c)(3), including: identification of the copyrighted work; identification of the allegedly infringing material with enough detail to locate it; your contact information; a statement of good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the copyright owner; and your physical or electronic signature.
19. General Provisions
Severability. If any provision of these Terms is found unenforceable, the remaining provisions stay in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Entire agreement. These Terms, together with our Privacy Policy and any proposal or order you accept, constitute the entire agreement between you and InnovateRetail regarding the services and supersede any prior agreements or proposals on the subject.
No waiver. Our failure to enforce any provision is not a waiver of that provision or of our right to enforce it later.
Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, government actions, third-party platform outages, internet disruptions, labor disputes, or pandemics.
Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or part of our business.
